Scope of Services / Disclaimer
As a notary public and administrative/business support provider, I will provide the following services, as requested and agreed upon:
Notary Services
General notary services in accordance with Florida law
Identity verification and witnessing of signatures
Completion of notarial certificates (as selected by the client)
Mobile notary services, if applicable and agreed upon in advance
I do not provide legal advice, document interpretation, or select certificates on behalf of clients.
Administrative / Business Support Services
Non-legal administrative and business support services may include, but are not limited to:
Document organization and formatting
Form assistance (client provides all information and direction)
Email and correspondence support
Scheduling and basic administrative coordination
General clerical and virtual support tasks as agreed upon
One-Time Business Startup Support (Project-based)
Assistance organizing information for business registration
Support navigating registration platforms (such as Sunbiz)
Preparing and organizing startup documents
Submission of filings as directed by the client.
Branding support, including business descriptions, basic brand setup, and coordination of branding materials
Assistance organizing, formatting, and completing agreements or templates provided or selected by the client
Preparing documents for electronic signature or submission
This service is administrative support only and does not include legal advice, legal drafting or representation.
Light Bookkeeping (Limited Scope)
Light bookkeeping services may be provided on a limited basis and are restricted to:
Recording and categorizing transactions provided by the client
Maintaining basic financial records for internal tracking
Organizing receipts and expense documentation
Light bookkeeping services do not include accounting, payroll, tax preparation, financial analysis, or advisory services. All financial decisions remain the responsibility of the client
Services Not Provided
To maintain clarity and compliance, Lumera does NOT provide:
Legal advice or legal document preparation
Interpretation of legal or financial documents
Selection of notarial certificates for clients
Payroll processing or payroll setup
Sales tax or income tax filing
Financial, compliance, or CFO advisory services
Audit assistance or representation
If these services are required, the client is responsible for obtaining them from a qualified professional.
Client Responsibilities
The client agrees to:
Provide accurate, complete, and timely information necessary for the requested services
Ensure all documents and information provided are truthful and current
Review completed work and notify Lumera of any questions or concerns in a timely manner
Maintain access to any systems, documents, or platforms required for agreed-upon administrative or light bookkeeping support
Remain responsible for all business, financial, and legal decisions
Confidentiality and Data Collection
Lumera BS may have access to confidential business or financial information in the course of providing services. I understand the importance of confidentiality and agree to maintain the confidentiality of all non-public client information.
Lumera BS will not disclose client information to any third party without prior written consent, except as required by law. Reasonable measures will be taken to protect client data and information.
Term & Cancellation
Services may be provided on either a month-to-month basis or as a one-time service, depending on the scope agreed upon.
Month-to-Month Services:
Ongoing services are provided on a month-to-month basis. Either party may cancel these services with 30 days’ written notice. A final invoice will be issued for services performed up to the effective cancellation date.
One-Time Services:
One-time services (such as business setup or administrative support projects) are provided for a defined scope and timeframe. These services conclude upon completion of the agreed-upon work and are not subject to ongoing cancellation once work has begun, unless otherwise agreed in writing.
Refunds:
Payments for one-time services are non-refundable once work has begun. If a one-time service is canceled before work has started, any prepaid amount may be refunded or credited at Lumera’s discretion.
Limitation of Liability
Services will be provided with reasonable care and professionalism. However, no guarantee is made regarding specific outcomes or results.
Lumera’s liability for any errors or omissions related to administrative or light bookkeeping services shall be limited to the fees paid for those specific services. Lumera shall not be liable for decisions made by the client or third parties based on information provided.
Notarial services are performed in accordance with Florida law and are limited to the duties of a notary public.
Termination
Either party may terminate the engagement with 30 days’ written notice to the other party, as outlined above.
